BoostedHost Terms of Service

1. Acceptance of Terms

By using BoostedHost’s services (collectively, the “Services”), you agree to these Terms of Service and any other policies or terms referenced or published by us (collectively, the “Terms”). If you do not accept these Terms, you must not register an account or purchase, access, or use BoostedHost’s Services in any way.

2. Pricing and Payment

BoostedHost reserves the right to increase the prices of its services without previous notice. Prices displayed with sales are subject to increase between 1-3 months from the date of purchase. All charges and fees associated with an account are the sole responsibility of the customer. Failure to pay any fees may result in the termination of your Services.

3. Refunds and Uptime

BoostedHost does not offer refunds if our services are offline. While we strive to maintain 100% uptime, we do not guarantee it. In the event of service interruption, no compensation will be provided.

4. Account Information

You agree to provide certain current, complete, and accurate information about you as required by the account creation process, and to maintain or update this information as needed to keep it current, complete, and accurate. Providing any false Account Information is considered a violation of BoostedHost’s terms and may result in the termination of your Services.

5. Termination

This contract may be terminated by either party, without cause, by giving the other party 14 days written notice. BoostedHost will accept termination by electronic mail. Notwithstanding the above, BoostedHost may terminate service under this contract at any time, without penalty, if the Customer fails to comply with the terms of this contract, including non-payment.

6. Limited Liability

Customer expressly agrees that use of BoostedHost’s Services is at Customer’s sole risk. Neither BoostedHost, its employees, affiliates, agents, third party information providers, merchants licensers or the like, warrant that BoostedHost’s Services will not be interrupted or error free; nor do they make any warranty as to the results that may be obtained from the use of the Services or as to the accuracy, reliability or content of any information service or merchandise contained in or provided through BoostedHost Services, unless otherwise expressly stated in this contract.

7. Indemnification

Customer agrees that it shall defend, indemnify, save and hold BoostedHost harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorneys’ fees, asserted against BoostedHost, its agents, its customers, servants officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by Customer, its agents, employees or assigns.

8. Dispute Resolution

Any dispute arising out of or related to these Terms or the Services will be governed by the laws of the jurisdiction where BoostedHost is located, without regard to its conflict of laws rules. All disputes related to these Terms or the Services will be resolved in the courts of the jurisdiction where BoostedHost is located.

9. Changes to Terms

BoostedHost reserves the right to revise these Terms at any time. Any changes to these Terms will be effective immediately upon posting. Your continued use of the Services following the posting of changes will constitute your acceptance of such changes.

10. Intellectual Property

All content provided as part of the Services, including but not limited to text, graphics, logos, software, and source code, is the property of BoostedHost and is protected by international copyright laws. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, or access to the Services without express written permission by BoostedHost.

11. User Conduct

You agree to not use the Services to:

a. upload, post, email, transmit or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable;

b. harm minors in any way;

c. impersonate any person or entity, including, but not limited to, a BoostedHost official, or falsely state or otherwise misrepresent your affiliation with a person or entity;

d. forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Services;

e. upload, post, email, transmit or otherwise make available any content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

f. upload, post, email, transmit or otherwise make available any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;

g. upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;

h. upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;

i. interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services;

j. intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;

k. “stalk” or otherwise harass another; and/or

l. collect or store personal data about other users in connection with the prohibited conduct and activities set forth in paragraphs a through k above.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the Terms will otherwise remain in full force and effect and enforceable.

13. Entire Agreement

These Terms and any policies or operating rules posted by us on the Site or in respect to the Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

14. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and BoostedHost’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Force Majeure

BoostedHost shall not be held liable for any delay or failure in performance of any part of this agreement to the extent such delay is caused by events or circumstances beyond BoostedHost’s reasonable control, including but not limited to fire, flood, storm, act of God, war, armed conflict, terrorist action, labour strike, lockout, or interruption or failure of electricity or communication service.
